Terms of Service

These Terms of Service ("Terms") govern your use of the Zero Tolerance Labs client portal and related services available at vault.zerotolerancelabs.com and quote.zerotolerancelabs.com (collectively, the "Service"), operated by Zero Tolerance Labs LLC ("ZTL," "we," "us," or "our"), an FDA Registered contract manufacturing facility located in Neenah, Wisconsin.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Access

The Service is available by invitation only. Access is granted to authorized representatives of ZTL's manufacturing clients ("Clients") and to ZTL's internal operations team. There is no self-registration. You must be at least 18 years old and authorized to act on behalf of the Client organization associated with your account.

2. Account and Authentication

Access is authenticated via email-based magic links or email/password credentials managed through our authentication provider (Supabase Auth). You are responsible for maintaining the security of your email account and login credentials. Notify us immediately at info@zerotolerancelabs.com if you believe your account has been compromised.

We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms or at the request of the Client organization you are associated with.

3. Description of the Service

The Service provides:

• Quoting: Request and review manufacturing quotes for powder supplement products.
• Documents: View and download quality documents (e.g., Certificates of Analysis) associated with your account.
• Labels: Upload label files for review, and track the approval status of label revisions.
• Orders: View billing and payment status for manufacturing orders associated with your account, sourced from our accounting system.

The Service is a client portal — it provides visibility into information ZTL manages on your behalf. It does not replace or modify the terms of any manufacturing agreement, purchase order, or other contract between you and ZTL.

4. Acceptable Use

You agree not to:

• Access accounts, data, or areas of the Service not intended for you.
• Attempt to probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measures.
• Use the Service to upload files containing malware, viruses, or malicious code (uploaded files are scanned; malicious uploads are rejected and logged).
• Use the Service for any purpose other than its intended function as a client portal for ZTL manufacturing services.
• Share your login credentials with unauthorized individuals.
• Use automated tools to scrape, crawl, or extract data from the Service.

5. Intellectual Property

Your Content

You retain ownership of any content you upload to the Service (e.g., label files). By uploading, you grant ZTL a limited license to store, process, scan, and display that content as necessary to operate the Service and fulfill our manufacturing obligations.

Our Content

The Service, including its design, interface, code, and ZTL-authored content, is owned by Zero Tolerance Labs LLC. You may not copy, modify, distribute, or create derivative works from any part of the Service.

6. Confidentiality

Information visible to you through the Service — including quotes, pricing, formulations, Certificates of Analysis, order details, and payment information — is confidential. You agree not to share this information outside your organization except as required by law or with ZTL's prior written consent.

ZTL treats your data with the same confidentiality. See our Privacy Policy for details on how we handle your information.

7. Accuracy and Availability

We make reasonable efforts to keep the information in the Service accurate and up to date. However:

• Quotes are estimates based on information available at the time and are not binding commitments until a separate manufacturing agreement is executed.
• Order and payment information is synced periodically from our accounting system and may not reflect real-time changes.
• Documents are provided as-is from our quality management system.

We do not guarantee uninterrupted availability of the Service. We may perform maintenance, updates, or modifications at any time.

8. Limitation of Liability

To the maximum extent permitted by law, ZTL's total liability arising from or related to your use of the Service is limited to the amount you paid to ZTL for manufacturing services in the twelve (12) months preceding the claim. ZTL is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of or inability to use the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." ZTL disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

10. Indemnification

You agree to indemnify and hold harmless ZTL, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Outagamie County, Wisconsin.
